Terms of Service

1. Acceptance of Terms
By accessing or using BattleIQ (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and BattleIQ, Inc. ("BattleIQ," "we," "us," or "our").
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using BattleIQ, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Account Registration & Security
To access the Service, you must create an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at securitybattleiq.ai if you suspect any unauthorized access to your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.
4. Permitted Use
BattleIQ is provided for lawful business purposes only. You agree not to: (a) use the Service to violate any applicable law or regulation; (b) infringe upon the intellectual property or privacy rights of others; (c) reverse-engineer, decompile, or disassemble any part of the Service; (d) attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service; (e) use the Service to transmit malware, spam, or other harmful content; or (f) resell, sublicense, or redistribute the Service without our written consent.
5. Your Data & Content
You retain all ownership rights to the data and content you upload or provide to BattleIQ ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive license to process, store, and analyze it solely to provide the Service to you. We will not sell, share, or use Your Content for purposes unrelated to delivering the Service. You are solely responsible for ensuring that Your Content does not violate any third-party rights or applicable laws.
6. Intellectual Property
All content, features, functionality, trademarks, and proprietary technology of BattleIQ — including AI-generated analyses, the user interface, documentation, and underlying algorithms — are owned by BattleIQ, Inc. and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
7. Subscription & Billing
Paid plans are billed in advance on a monthly or annual basis at the rates displayed at the time of purchase. All fees are non-refundable except as required by law or as otherwise stated in a separate agreement. We may change pricing upon 30 days' notice; continued use after a price change constitutes acceptance. You may cancel your subscription at any time; access continues until the end of the current billing period. Failure to pay may result in suspension or termination of your account.
8. Service Availability & Modifications
We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes that affect your use of the Service. Scheduled maintenance windows will be communicated in advance when possible.
9. Confidentiality
Each party agrees to treat the other party's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential information includes, but is not limited to, business strategies, competitive intelligence data, pricing, and technical specifications. This obligation does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT. BattleIQ does not guarantee the completeness, reliability, or accuracy of any competitive intelligence analysis produced by the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BATTLEIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless BattleIQ and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.
13. Termination
Either party may terminate these Terms at any time. You may terminate by canceling your account or contacting supportbattleiq.ai. We may suspend or terminate your access immediately if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases. We will make your data available for export for 30 days following termination, after which it may be deleted.
14. Dispute Resolution
Any dispute arising from these Terms shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in English in Wilmington, Delaware. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any proceedings not subject to arbitration.
16. General Provisions
These Terms constitute the entire agreement between you and BattleIQ regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision does not constitute a waiver. You may not assign or transfer these Terms without our written consent. We may update these Terms from time to time; material changes will be communicated via email or through the Service at least 30 days in advance.
